Incorporating in Cyprus is genuinely fast - the registration itself takes days, not months. What deserves your attention is everything around it: the name check, the bank account, the tax registrations, and the annual obligations you are signing up for. Here is the honest picture.
Why Cyprus, in one paragraph
An EU member state with 15% corporate tax (from 1 January 2026), full access to EU VAT and the single market, more than 65 double-tax treaties, English-language administration and a legal system built on English common law. For owner-operators who also relocate, the Non-Dom regime brings the total tax on distributed profits to roughly 17% at typical profit levels.
The steps, in order
1. Name approval. The Registrar of Companies must approve the company name first. Allow a few business days; names that are too generic or too close to existing ones get rejected, so bring two or three candidates. 2. Incorporation documents. Memorandum and articles of association, directors, shareholders, registered office and company secretary - all Cyprus companies must have a registered office address in Cyprus and a secretary. We prepare and file the full set. 3. Registration. With the name approved and documents in, the Registrar issues the certificate of incorporation, typically within 5-10 business days end to end. 4. Tax and VAT registration. A Tax Identification Code is mandatory shortly after incorporation. VAT registration is required once taxable supplies pass the threshold - and immediately for most companies trading cross-border in the EU (the standard VAT rate is 19%). 5. The bank or EMI account. This is the slowest step and the one nobody warns you about. Cyprus banks run full KYC on directors and beneficial owners: expect passport, proof of address, source-of-funds evidence and a clear description of the business. Two to five weeks is normal. An EU electronic money institution can often be opened faster and works fine for most trading companies. 6. Substance, if you are claiming treaty or residency benefits. A real office, a director genuinely in Cyprus, and board decisions actually taken here. How much substance you need depends on what you are claiming - we size it honestly rather than selling you the maximum.
What it costs to run - the part to budget for
Incorporation is a one-off; these are not:
- Annual audited financial statements. Every Cyprus company files audited accounts, even a small one. This is the main recurring professional cost.
- Corporate tax returns and provisional tax payments during the year.
- VAT returns (quarterly) and, for EU trade, VIES declarations.
- Registered office and secretary, renewed annually.
- Payroll and social insurance, if the company employs anyone - including you, if you take a director's salary.
A company that is kept current is an asset; one that falls behind on filings collects penalties and blocks its own bank account. Budget for the running costs on day one.
